Terms of Service

These Terms of Service (“Terms”) govern access to and use of services provided by Aqitas Limited (“Aqitas”, “we”, “us”, or “our”).

By accessing or using aqitas.com or Aqitas services (the “Services”), you (“Customer”, “you”, or “User”) agree to be bound by these Terms.

If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.


1. About Aqitas

Aqitas provides data intelligence, analytics, and software platform services designed to support organisational insight, monitoring, and decision-making.


2. Definitions

  • Services — Aqitas software, platform, website, and related services.
  • Customer Data — all data submitted or processed by Customer through the Services.
  • User — authorised individual accessing the Services.
  • Subscription — paid or trial access to Services.
  • Agreement — these Terms plus any Order Form or written contract.

3. Eligibility

You must:

  • Be at least 18 years old
  • Use the Services for lawful business purposes
  • Provide accurate registration information

4. Account Registration

Customers are responsible for:

  • Maintaining account confidentiality
  • Managing authorised users
  • All activity under their accounts
  • Promptly notifying Aqitas of unauthorised access

Aqitas may suspend accounts where security risks are identified.


5. Subscription & Access Rights

Subject to payment and compliance with these Terms, Aqitas grants a:

limited, non-exclusive, non-transferable, revocable licence
to access and use the Services during the subscription term.

You may not:

  • Resell or sublicense Services without permission
  • Reverse engineer or copy the platform
  • Attempt unauthorised access
  • Use Services to build competing products

6. Customer Responsibilities

Customer agrees to:

  • Comply with applicable laws
  • Ensure lawful rights to all uploaded data
  • Maintain internal security controls
  • Use Services in accordance with the Acceptable Use Policy

Customer remains responsible for Customer Data accuracy and legality.


7. Customer Data

Ownership

Customer retains all ownership rights in Customer Data.

Processing

Aqitas processes Customer Data solely to provide the Services and in accordance with:

Security

Aqitas implements reasonable technical and organisational safeguards but cannot guarantee absolute security.


8. Intellectual Property

All intellectual property rights in the Services remain the exclusive property of Aqitas.

These Terms do not grant ownership rights to Customer except for permitted use.

Feedback provided by Customer may be used by Aqitas without restriction or compensation.


9. Fees & Payment

Where applicable:

  • Fees are defined in an Order Form or pricing agreement.
  • Payments are due within agreed payment terms.
  • Fees are non-refundable unless required by law.
  • Late payments may result in service suspension.

All fees exclude applicable taxes unless stated otherwise.


10. Service Availability

Aqitas aims to provide reliable service but does not guarantee uninterrupted availability.

Services may be temporarily unavailable due to:

  • Maintenance
  • Security updates
  • Infrastructure issues
  • Events beyond reasonable control

11. Support & Updates

Aqitas may:

  • Modify or improve Services
  • Release updates or enhancements
  • Change features provided core functionality remains materially similar

12. Confidentiality

Each party agrees to protect confidential information received from the other party and use it only for purposes of this Agreement.

Confidential information excludes information that:

  • Is publicly available
  • Was already known lawfully
  • Is independently developed

13. Data Protection

Both parties agree to comply with applicable data protection laws, including:

  • UK GDPR
  • EU GDPR (where applicable)

Processing of personal data is governed by the Aqitas Data Processing Agreement.


14. Acceptable Use

Use of the Services must comply with the Aqitas Acceptable Use Policy.

Violation may result in suspension or termination.


15. Third-Party Services

Services may integrate with third-party providers.

Aqitas is not responsible for third-party services, availability, or policies.


16. Warranties Disclaimer

To the maximum extent permitted by law:

Services are provided “as is” and “as available.”

Aqitas disclaims all implied warranties including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

We do not guarantee specific business outcomes from use of the Services.


17. Limitation of Liability

To the extent permitted by law:

Aqitas shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits or revenue
  • Loss of data (except where caused by breach of obligations)

Total aggregate liability shall not exceed:

the fees paid by Customer in the 12 months preceding the claim.

Nothing excludes liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Liability that cannot legally be limited

18. Indemnification

Customer agrees to indemnify Aqitas against claims arising from:

  • Customer Data
  • Unlawful use of Services
  • Violation of these Terms

19. Term & Termination

Term

These Terms remain effective while Services are used.

Termination by Customer

Customer may terminate according to subscription terms.

Termination by Aqitas

We may suspend or terminate access if:

  • Terms are violated
  • Payment obligations are not met
  • Security risks arise

20. Effect of Termination

Upon termination:

  • Access to Services ends
  • Customer Data may be deleted following retention periods
  • Outstanding fees remain payable

21. Force Majeure

Neither party is liable for failure caused by events beyond reasonable control, including:

  • Natural disasters
  • Cyber incidents
  • Infrastructure outages
  • Government actions

22. Governing Law

These Terms are governed by the laws of England and Wales.

Disputes shall be subject to the exclusive jurisdiction of courts in England and Wales.


23. Changes to Terms

Aqitas may update these Terms periodically.

Material changes will be communicated via website or service notification.

Continued use constitutes acceptance of updated Terms.
